<meta content="text/html; charset=utf-8" http-equiv="Content-Type" /><div style="font-family: Arial, Helvetica, sans-serif; color: #000000; font-size: 10pt"><b><strong>YOU ARE ENTERING A CONTRACT WHICH LIMITS YOUR POSSIBLE RECOVERY IN CASE OF LOSS OR DAMAGE. </strong></b>Acceptance of said terms and conditions will be construed when any of the following conditions are met: A Material Handling Agreement is signed or completed on our Storefront; A Credit Card Authorization Form is signed or completed on our Storefront; Exhibitor’s materials are delivered to Demers warehouse or to an event site for which Demers is the Official Show Contractor; or an order for labor and/or rental equipment is placed by Exhibitor with Demers.<br /> </div><div style="font-family: Arial, Helvetica, sans-serif; color: #000000; font-size: 10pt"><p><strong>CREDIT AND PAYMENT POLICY</strong><br />All orders must be paid in full and/or credit card authorization be on file with your order(s) before any services are rendered. There will be no invoicing; purchase orders are not a form of payment.<br /><br />Payment for orders mailed to Demers in advance can be made by company check, money order or credit card.<br /><br />Event site orders can be paid by cash or charged to a credit card account.<br /><br />International exhibitors must prepay all services in American Funds. Demers will not be responsible for differences in exchange rates should a refund be due. The refund will be processed in American Funds.<br />All items are for rental for the duration of the show only. Items ordered, delivered to booth, then canceled, will not be refunded.<br /><br />Other refund requests will not be considered unless Exhibitor makes request of Demers prior to the close of the event.<br /><br />Exhibitor is responsible for cost of repair or replacement if equipment is lost, damaged or stolen while being rented.<br /><br />By submitting this credit card authorization, you knowingly authorize Demers to charge your credit card for any service rendered under the terms and conditions stated in the exhibitor kit. You also knowingly authorize your show site representative to sign for charges on your behalf.<br /><br />Third Party Payment – The exhibiting firm is ultimately responsible for payment of charges and agrees to be bound by all terms and conditions. In the event that the named third party does not render payment of the invoice prior to the last day of the show, charges will revert back to the exhibiting company. All invoices are due and payable upon receipt by either party.<br /><br />Payment must be received by advanced deadline in order to avoid late charges.<br /><br />Freight or orders received without payment will be assessed a late fee.<br /> </p></div><div style="font-family: Arial, Helvetica, sans-serif; color: #000000; font-size: 10pt"><p><strong>VENUE JURISDICTION</strong><br />Exhibitor agrees to follow all local union jurisdiction rules and regulations as well as any rules and regulations set forth by the venue hosting the show or exposition.<br /> </p></div><div style="font-family: Arial, Helvetica, sans-serif; color: #000000; font-size: 10pt"><p><strong>LIABILITY AND INSURANCE BULLETIN</strong><br />DEMERS EXPOSITION SERVICES, INC. shall not be responsible for damage to uncrated materials, improperly packed materials, or concealed damage.<br /><br />DEMERS EXPOSITION SERVICES, INC. shall not be responsible for loss, theft, or disappearance of exhibitor’s materials after same have been delivered to exhibitor’s booth.<br /><br />DEMERS EXPOSITION SERVICES, INC. shall not be responsible for loss, theft or disappearance of materials before they are picked up from exhibitor’s booth for reloading after the event. Bills of lading covering outgoing shipments which are furnished to DEMERS EXPOSITION SERVICES, INC. by exhibitors will be checked at the time of our actual pick-up from booth and corrections made where discrepancies occur.<br /><br />DEMERS EXPOSITION SERVICES, INC. shall not be responsible for loss, damage or delay due to fire, acts of God, strikes, lockouts or work stoppages of any kind, or to any causes beyond its control.<br /><br />DEMERS EXPOSITION SERVICES, INC.’s liability shall be limited to physical loss or damage to the specific article which is lost or damaged, and in any event, DEMERS EXPOSITION SERVICES, INC.’s liability shall be limited to $0.30 per pound. Exhibitor agrees that any and all claims for loss or damage must be submitted to Demers immediately at the show site, and in any case not later than thirty (30) business days after the conclusion of the show or exposition. (For purposes of claim reporting, the “conclusion” of the show shall be construed as the time when Exhibitor’s materials are delivered to the carrier for transportation from the show site or from Demers warehouse.) All claims reported after thirty (30) business days will be rejected. <br /><br />PAYMENT FOR SERVICES MAY NOT BE WITHHELD. In the event of any dispute between the Exhibitor and Demers relative to any loss, damage, or claim, Exhibitor shall not be entitled to and shall not withhold payment, or any partial payment, due Demers for its services as an offset against the amount of any alleged loss or damage. Any claims against Demers shall be considered a separate transaction and shall be resolved on their own merits.<br /><br />DEMERS EXPOSITION SERVICES, INC. shall not be liable to any extent whatsoever for any actual, potential or assumed loss of profits or revenues, or for any collateral costs which may result from any loss or damage to an exhibitor’s materials which may make it impossible to exhibit same.<br /><br />The consignment or delivery of a shipment to DEMERS EXPOSITION SERVICES, INC. by an exhibitor, or by any other shipper on behalf of the exhibitor , shall be construed as an acceptance by such exhibitor (and/or other shipper) of the terms and conditions set forth in this bulletin.<br /><br />DEMERS EXPOSITION SERVICES, INC. shall have the authority to change the Exhibitor designated carrier if that carrier does not pick up the shipment(s) at the appointed time. Where no disposition is made by Exhibitor, materials may be taken to a warehouse to await Exhibitor’s shipping instructions and Exhibitor agrees to be responsible for charges relating to such rerouting and handling. In no event shall Demers be responsible for charges relating to such rerouting and handling. <br /><br />EXHIBITORS REQUIRING ADDITIONAL INSURANCE COVERAGE SHOULD ARRANGE TO PLACE SAME THROUGH THEIR AGENT OR BROKER.</p></div><div style="font-family: Arial, Helvetica, sans-serif; color: #000000; font-size: 10pt"> </div>

<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>Demers Exposition Services, Inc. will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. Demers Exposition Services, Inc. may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of Demers Exposition Services, Inc.’s products and services as part of commercial transactions with third parties to help Demers Exposition Services, Inc. improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>Demers Exposition Services, Inc. may use third-party service providers and vendors to assist Demers Exposition Services, Inc. in providing its products and services to you and others, including, without limitation, services to host Demers Exposition Services, Inc.’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. Demers Exposition Services, Inc. may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, Demers Exposition Services, Inc. in providing Software Services and other services pursuant to the Agreement.</p>
<p>Demers Exposition Services, Inc. may disclose your Information as Demers Exposition Services, Inc. reasonably believes is required by court order, governmental directive, or other law, to protect the rights of Demers Exposition Services, Inc., or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>Demers Exposition Services, Inc. will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although Demers Exposition Services, Inc. will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of Demers Exposition Services, Inc. to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
